TERMS AND CONDITIONS OF USE

Please read all these terms and conditions.

Introduction

We are Budding Ventures Ltd, trading as GG Prizes, a company incorporated in England and Wales with number 11582080 whose registered office is at 10 Thornbury Road, Plymouth, United Kingdom, PL6 7PP (referred to as "Budding Ventures", "Company", "we", "our" or "us"). Our website (the "Website"), which is available at https://ggprizes.com, is owned, operated and provided by us.

These terms and conditions of use (the "Terms") apply to the Website and govern the use of the Website including survey pages, features, online services and other functionalities (collectively, the "Features") available via a computer, mobile device or otherwise. These Terms may also apply to future websites, mobile apps, and interactive services operated by us, whether or not associated with us.

1. Acknowledgement and Acceptance
1. These Terms are a legal agreement between you and us. By using the Website and any of its Features or by ticking 'I agree' during the registration process to register as a member of the Website (the "User") or by simply accessing and using the Website webpages you agree to be bound by these Terms and our privacy policy which can be found at https://ggprizes.com/privacy-policy (the "Privacy Policy"). If you do not agree to these Terms or our Privacy Policy, you must not register with or use any of the Website or any of its Features.
2. We reserve the right from time to time, to modify or amend these Terms or any part of them. You will be informed in advance of any material changes in good time before they become effective and such changes will never vary your entitlement to Points for surveys you have already completed prior to the effective date of the changes. Your continued use of the Website and any of its Features once the changes take effect shall constitute an affirmative acknowledgement of any modification and your continued agreement to be bound by the modified Terms.
3. There may be additional terms, official rules, or agreements, that apply to certain services, activities, competitions, applications or other features we provide through our Website (the "Additional Terms") which we will notify to you and which you agree to be bound by. In the event of any conflict between the terms of the Additional Terms and these Terms, the Additional Terms shall prevail unless expressly otherwise stated in the Additional Terms.
2. Terms of Participation
1. To register for an account on the Website (the "Account") you will need to follow the registration process.
2. You must be 16 years or older to register for an Account on our Website.
3. Any information collected through the registration process shall be governed by our Privacy Policy.
4. Use of our Website and its Features may require an Account. You will be solely responsible and liable for any activity that occurs under your Account. You are responsible for keeping your password secure. You agree to provide us with complete and accurate information when you register for an Account.
5. By using our website you agree that you will not abuse the service or try to circumvent or take advantage of any of its Features (for example by using a VPN or multiple email addresses to enter a survey or Rewards Programme (defined below) more than once or by using software to automate your interactions with the Website).
3. International Users
1. The Website and its Features are controlled, operated, and administered by the Company in England and Wales. We do not make any representation that materials on the Website and its Features are appropriate or legal for use at locations other than England and Wales. If you access the Website and its Features, including contents, products and services from a location outside of England and Wales, you are responsible for compliance with all local laws.
4. Rewards Programme
1. We may offer one or more rewards programmes (the "Rewards Programmes") under which you may have the opportunity to earn points (the "Points"), which are redeemable for rewards (the "Rewards").
2. Where you participate in a Rewards Programme, Additional Terms may apply to your participation in those Rewards Programmes.
3. We may limit, suspend or terminate your ability to participate in a Rewards Programme in our sole and absolute discretion, and may void any Points and Rewards, or potential Points and Rewards you may have earned or accumulated in a Rewards Programme, if we determine that you have not complied with these Terms or any Additional Terms applicable to such Rewards Programmes.
4. You agree to abide by the final and binding decisions of the Company regarding any Rewards Programme and your participation in it. We reserve the right to change, suspend or cancel all or a portion of a Rewards Programme, including any Points you have accrued, at any time. We will generally use reasonable efforts to provide notice to you of any material change to or a suspension or cancellation of a Rewards Programme.
5. Earning Points
1. Points can be earned in a Rewards Programme by participating in certain activities (the "Activity") as described in the Website and its Features.
2. When participating in any Activities you must follow the instructions associated with any Activity. Upon satisfying all of the requirements of the Activity, you will be awarded the Points associated with completing that Activity so long as the Company and/or its third-party Rewards Programme partners (the "Third-Party Partners") are able to properly track your valid and completed Points-earning Activities.
3. For the avoidance of doubt, we shall not be responsible for, nor shall we be obligated to award Points or Rewards to Rewards Programme participants for, any Activity which is not properly recorded, tracked and/or deemed approved by us or our Third-Party Partners policies, procedures and systems, and any Points or Rewards previously granted may be revoked in appropriate circumstances.
4. Where Additional Terms apply on Activities and Rewards it is your responsibility to review all applicable Additional Terms before deciding whether or not you would like to participate in the Activity. Additional Terms may include verification and request for receipts of completed purchases. You agree that we may, from time-to-time, request verification for the purpose of verifying transactions and/or avoiding potential fraud or misuse of our Website and its Features.
6. Redeeming Points
1. You may redeem Points you have earned for Rewards offered in a Rewards Programme pursuant to these Terms and any applicable Additional Terms.
2. Where supplies or Rewards are limited, rewards may be awarded on a first-come, first-serve and while-supplies-last basis. If you attempt to redeem Points for a Reward and we or our Third-Party Partners determines that the Rewards is unavailable, out of stock, or for whatever reason cannot be provided to you, we or our Third-Party Partners may, at our or their sole discretion provide you with a Reward of equal or greater value.
3. No credit, reversal or refund of Points will be issued for any reason after Points have been redeemed. Once you order a Reward, you may not cancel the Reward or return the Reward for a refund of Points. The only way to use the Points is to redeem them for Rewards in the Rewards Programmes.
4. Some Rewards may have eligibility requirements, and in that case, we reserve the right to verify your identity (by requesting a photocopy of your photo driving licence or passport) and eligibility qualifications for our Third-Party Partner's complete satisfaction prior to crediting Points or fulfilling any Reward in any Rewards Programme, or otherwise providing you with any benefit.
7. Delivery of Rewards
1. Rewards may be emailed to your email address that you provided when you registered and created an account on the Website for the applicable Rewards Programme, or to the email that our records show your Account was last updated to reflect. Processing times may vary.
2. Rewards that are undeliverable or unclaimed for whatever reason (including, without limitation, because your Account information is incorrect or outdated) may be forfeited, and the Points will not be refunded.
3. Where delivery of Rewards requires physical delivery of tangible goods, we will request a valid delivery address for delivery of the Rewards.
4. We will use reasonable delivery times where appropriate. Where Rewards require physical delivery, delivery times may vary.
8. Non-transferability of Points
1. Rewards and Points from applicable Rewards Programmes are non-transferable, may not be bartered or sold, and are void if a transfer is attempted, and such points and the associated Account are not transferable upon death.
2. Points have no monetary value and can only be used to redeem Rewards in the Rewards Programmes.
9. Inactive Accounts
1. Any Account that has not been logged into and pointed either earned or redeemed for one year or more may be deemed inactive and the Account closed. We may either close the Account completely or remove any Points in the Account and treat it as inactive. In such instances, to request Account reactivation you may contact us or email: contact@ggprizes.com.
2. We may at our sole discretion, decide not to re-activate inactive Accounts for any reason and we may modify the inactive Account rules and policies from time to time.
10. Points Expiration
1. Any Points in our Rewards Programmes that have not been redeemed for two years from the time such Points were earned or awarded may be deemed expired and removed from your Account. In such instances, to request re-crediting of the expired Points to the Account, you may contact us or email: contact@ggprizes.com.
2. We may at our sole discretion, decide to not re-credit the Points for any reason and we may modify the Points expiration rules and policies from time to time.
11. Prize Draws
1. When completing Activities on our Website, you may be entered into a prize draw, sweepstakes or prize poll (the "Prize Draw") when completing Activities or you may use your Points to enter into a Prize Draw. Such Prize Draws will be governed by these Terms and any applicable Additional Terms specified and displayed for each Prize Draw.
2. Winners of any Prize Draws will receive a prize which is being offered in the Prize Draw (the "Prize").
3. To be eligible to enter the Prize Draw entrants must hold a valid Account (the "Eligible Entrants").
4. To complete entry into a Prize Draw, Eligible Entrants must successfully complete a game or answer a question which exercises the Eligible Entrant's skill and judgement (the "Qualifying Entry").
5. Late entries will not be considered in the selection of the winner.
6. The winners of the Prize Draw warrant that all information submitted by them is true, accurate and complete and we or our Third-Party Partners are not responsible for any information which is invalid or incomplete.
7. We or our Third-Party Partners reserve the right to exclude and/or disqualify any entries which it deems, in its sole and absolute discretion, to:
   1. fail to comply with these Terms or Additional Terms and/or
   2. is contrary to the spirit or intention of the Prize Draw.
8. The winners will be randomly selected, under independent supervision from all Qualifying Entries. Any decision made by us or our Third-Party Partners will be final.
9. Reasonable efforts will be made to contact the winners of each Prize. If the winners of the Prizes cannot be successfully contacted after reasonable attempts, do not claim the Prizes within 7 days of notification, or are unable to comply with these Terms or Additional Terms, we or our Third-Party Partners reserves the right to offer the relevant Prizes to another Eligible Entrant. Failure to respond or failure to meet the eligibility requirements may result in forfeiture of the Prizes.
10. Once contacted, each winner will be required to provide a valid address or email in order to receive their Prize.
11. Winners may also be required to submit additional valid identification before receiving their Prize.
12. The Prizes are not transferable and no cash alternatives will be offered.
13. We or our Third-Party Partners reserve the right at any time to cancel, modify or supersede the Prize Draw (including altering the Prizes).
14. Any Prize Draw is free to enter and no purchase is necessary.
15. All third-party terms and conditions relating to the Prize Draw and Prizes are beyond our control. We cannot accept responsibility and will not be liable for any failures to abide by all third-party terms applying to the Prize Draw and Prizes.
16. We cannot accept responsibility for entries lost, corrupted, or delayed in transmission. Under no circumstances are we liable (unless such liability cannot be lawfully excluded) for any losses, damages, costs or expenses arising from or in any way connected with any errors, defects, interruptions, malfunctions or delays in the Prize Draw or the Prizes (or any aspect of them), and we exclude liability, to the fullest extent permitted by law, for any loss or damage caused to a winner of the Prize arising out of or connected to the Prizes or Prize Draw.
17. Free entry route
    1. If you wish to enter any Prize Draw for free then you must send us your entry via post (for example via first or second class post) stating: which Prize Draw you would like to take part in, the question and the answer to the question specific to that particular Prize Draw, and your: full name, date of birth, postal address, email address, and one contact telephone number.
    2. Please send entries to: Competitions Team, Budding Ventures, 10 Thornbury Road, Plymouth, United Kingdom, PL6 7PP.
    3. All free entries must be received before the close of the Prize Draw and any entries that fail to comply with the criteria mentioned above will be void.
12. Intellectual Property
1. You acknowledge that the Website, it's Features and all pages and content within the Website, including but not limited to, text, graphics, audio, video, photographs, software, inventions, surveys, logos or other materials (the "Materials") are the intellectual property of, or are authorised for use by, us and its licensors, business partners and affiliates.
2. Except as expressly permitted in these Terms, you may not modify, copy, reproduce, create derivative works, republish, display, upload, post, transmit, distribute or use in any way Materials and content available on the Website without our prior written consent.
13. User Conduct
1. You agree that you will not engage in any activity that interferes with or disrupts the Website and it's Features or use any service to manipulate your computer or other device to gain any advantage on any of our Rewards Programmes.
2. Unless you have been specifically permitted to do so in a separate written agreement with us, you agree that you will not reproduce, duplicate, copy, sell, trade or resell our services for any purpose.
3. You agree that your use of our Website and its Features shall not be fraudulent or deceptive, or unlawful, as determined in our sole and absolute discretion. You shall also comply all usage rules found throughout the Website and its Features including, without limitation, other guidelines posted on the Website.
4. You agree that you will not use the Website or it's Features in order to:
   1. access (or attempt to access) any of the Website or it's Features by any means other than through the interface that we provide;
   2. share a single Account with any person other than the registered Account holder;
   3. create and/or use multiple Accounts (one Account is permitted per person);
   4. maintain or use any false identity or multiple identities, or otherwise fail to participate in any Activity using your real identity and accurate contact, demographic and other information;
   5. submit any person information, payment information or other information which we determine in our sole discretion to have been false, inaccurate or otherwise invalid in connection with any Activity or any other use of the Website and its Features;
   6. post, upload, transmit or otherwise disseminate information that, in our sole and absolute discretion, is obscene, indecent, vulgar, pornographic, sexual, hateful or otherwise objectionable;
   7. post spam links, and/or personal referral links in an aggressive, wanton, or otherwise inappropriate fashion, whether on the Website and it's Features or any other part of the Website or application;
   8. defame, libel, ridicule, mock, stalk, threaten, harass, intimidate or abuse anyone, hatefully, racially, ethnically or, in a reasonable person's view, otherwise act in an offensive or objectionable manner;
   9. upload or transmit files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files or data, or any other similar software or programmes that may damage the operation of the Website or it's Features, other users' computers, or access to or functionality of the Website;
   10. violate the contractual, personal, intellectual property or other rights of any party, including using, uploading, transmitting, distributing, or otherwise making available any information made available through the Website and it's Features in any manner that infringes any copyright, trademark, patent, trade secret, or other right of any party;
   11. attempt to obtain account information, passwords or other private information from other Accounts not belonging to you;
   12. improperly use support channels or complaints buttons to make false or frivolous reports to the Company or to communicate with our customer support representatives in a disrespectful, belligerent or inappropriate manner;
   13. develop, distribute, make use of, or publicly inform members of software programmes, web crawlers or other script or cheating mechanism or applications;
   14. share or distribute survey answers or survey information, or otherwise coach or assist other users with regard to qualifying for or answering surveys;
   15. abuse any of the Website or it's Features in a manner that does not reflect normal or appropriate human usage;
   16. exploit, distribute or publicly inform other members of any error, miscue or bug that gives an unintended advantage, violate any applicable laws or regulations, or promote or encourage any illegal or unauthorised activity including, but not limited to, hacking, cracking or distribution of counterfeit software, or cheats or hacks for our Activities.
5. If we determine in our sole discretion that you have violated these Terms, the Company may in its sole discretion issue you a warning regarding the violation prior to terminating or suspending any or all Accounts you have created (or which are associated with you) using our Website and its Features. However, you acknowledge and agree that the Company need not provide you with any prior warning or notice before revoking any Points or Rewards previously awarded based upon activity in violation of these Terms and/or terminating or suspending your Account(s) and/or your access to the Website and it's Features for any reason, at its sole and absolute discretion.
14. Disclaimer of Warranties, Limitation of Liability and Indemnification
1. Nothing in these Terms shall limit or exclude, or attempt to limit or exclude, our liability to you:
   1. for death or personal injury caused by our negligence;
   2. for fraudulent misrepresentation;
   3. for breach of any implied term by the Consumer Rights Act 2015 or other applicable consumer law;
   4. for any other liability that, by law, may not be limited or excluded.
2. You agree that your use of the Website and its Features shall be at your own risk.
3. To the maximum extent permitted by applicable law, in no event will the Company, or it's Third-Party Partners, employees, and agents, be liable to you or any third person for any business losses, revenue, goodwill, indirect or consequential loss or damage, and any liability we do have for losses you suffer is strictly limited to losses that were reasonably foreseeable.
4. You agree hold the Company, and each of its partners, employees, and agents, harmless from and against any claim, cause of action, loss, liability, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with:
   1. your use of and access to the Website and it's Features in breach of these Terms and any applicable Additional Terms;
   2. your violation of these Terms and any applicable Additional Terms;
   3. your violation of any third party rights, including without limitation any copyright, property, or privacy right, or damage to a third party;
   4. any tax obligations arising from or related to your use of the Website and its Features; and/or
   5. any content you post or share through the Website and its Features.
5. You agree that we are not responsible for the loss or impairment of any points, Rewards, Prizes, or credits, regardless of monetary value, in the event there is any: change in the value of each point (as determined in Company's sole and absolute discretion), data or server error, computer and/or network system error or failure, criminal act, vandalism, cyber-attack or other events which make it commercially unreasonable for us to determine the points balance or value of any Account(s).
6. All guarantees, warranties, and representations, whether express or implied, as to the condition, suitability, quality, fitness or safety of any goods and services supplied under our Rewards Programs or other services are excluded to the fullest extent permitted by applicable law.
7. We may, in our sole discretion, terminate our legal agreement with you and deny you continued use of the Website and it's Features, and, without limiting the foregoing, may do so if we are required to do so by law, the Third-Party Partners with whom we offered our services to you has terminated its relationship with us or ceased to offer their services to you, we are no longer providing all or any portion of our services to users in the jurisdiction in which are resident or from which you use our services, or the provision of our service to you is, in our opinion, no longer commercially viable.
15. Tax Liability
1. You acknowledge and agree that we do not have the ability, in every instance, to determine whether or not the Points, Rewards, Prizes, or credits you earned or redeemed in any Rewards Programme are considered reportable taxable earnings in your jurisdiction.
2. You are therefore responsible for any and all tax liability arising from or associated with your use of the Website and it's Features or our services, including liability arising from your accrual of Points or your redemption of such Points for cash or other value. As a condition of your continued use of the Website and it's Features and our services, we reserve the right to require you to provide necessary tax reporting information if our records show that you are or may be required to report the value of your Points, Rewards, Prizes, or credits to an appropriate tax authority.
3. We encourage you, and it is your responsibility, to seek advice of a tax expert in order to determine the tax consequences of your use of the Website and it's Features and our services, and any associated Points, Rewards, Prizes, or credits earned or redeemed.
16. Governing Law
1. These Terms and any applicable Additional Terms and any dispute or claim arising out of or in connection with it or its subject matter, existence, negotiation, validity, termination or enforceability (including any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
2. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute of claim arising out of, or in connection with, these Terms and any applicable Additional Terms, its subject matter or formation (including non-contractual disputes of claims).
17. Third Parties Rights
1. These Terms and Additional Terms do not confer any rights on any third parties by virtue of this agreement between you and Us and accordingly the Contract (Rights of Third Parties) Act 1999 shall not apply to these Terms.
18. Entire Agreement
1. These Terms constitute the entire agreement between you and Us and supersedes and extinguishes all previous drafts, agreements, arrangements and understandings, whether written or oral, relating to these Terms.
2. You acknowledge that in agreeing to these Terms you do not rely on, and shall have no remedies in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in these Terms.
19. Severance
1. Notwithstanding that the whole or any part of any provision of these Terms may prove to be illegal or unenforceable, the other provisions of these Terms and the remainder of the provision in question shall remain in full force and effect.
2. If any part of these Terms is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
